GungHo Gets Shareholder Request for Extraordinary Meeting
Strategic Capital and a trustee seek a shareholder meeting over a plan for GungHo to buy back shares and resell them to Sony Music Entertainment.
GungHo Online Entertainment said on October 15, 2026 that it has received a shareholder request to convene an extraordinary general meeting of shareholders, according to gamebiz.jp. The requesters are INTERTRUST TRUSTEES (CAYMAN) LIMITED, trustee of JAPAN-UP, and Strategic Capital Co., Ltd.
The sole agenda item is the acquisition of treasury shares from a specific shareholder. Strategic Capital proposes that GungHo acquire the shares held by SON Financial LLC as treasury stock and then dispose of them to Sony Music Entertainment.
The proposal calls for GungHo to acquire the shares at 1,946 yen per share and dispose of them to SME at 2,385 yen per share. Strategic Capital estimates that leaving the difference between the acquisition price and the disposal price with the company could generate an economic benefit of up to about 5.2 billion yen.
GungHo said it will carefully examine the content of the request and then decide its response policy.
Earlier transfer deal
In August 2026, GungHo concluded a contract to transfer 12,006,500 GungHo shares held by SON Financial LLC, whose representative employee is Taizo Son, to Sony Music Entertainment at 2,385 yen per share in connection with a capital and business alliance with SME. The execution date of the transfer is planned for December 30, 2026.
Strategic Capital argues that under the current method the economic benefit that should accrue to the company cannot be sufficiently secured. GungHo was established in July 1998 and is listed on the Tokyo Stock Exchange Prime Market under securities code 3765.
