Fox Corp. closes $22 billion Roku acquisition as shares leave Nasdaq
Roku stockholders receive $95.30 in cash and 0.9799 FOX Class A shares per share, with the deal closing well ahead of its projected window.
Fox Corp. has completed its $22 billion acquisition of Roku, and Roku shares will stop trading on the Nasdaq as of Friday, November 6, 2026, according to deadline.com. The deal closed less than five months after it was proposed last June, well ahead of an initially projected window in the first half of 2027.
Under the terms, Roku stockholders receive $95.30 in cash and 0.9799 FOX Class A shares for each Roku share. FOX stockholders will own approximately 74% of the outstanding shares, with former Roku stockholders holding about 26%.
Roku founder and CEO Anthony Wood is expected to join Fox's board of directors and will serve as Co-Chair of the newly formed Fox Digital Platforms division. Paul Cheesbrough takes the role of Co-Chair and CEO of Fox Digital Platforms, which includes Roku, Tubi, Fox One and Red Seat Ventures.
Fox expects to realize merger-related cost savings of $400 million within two years and said it sees the deal helping free cash flow per share by 2028. Earlier in the week, Fox CEO Lachlan Murdoch indicated regulators outside the U.S. had approved the merger, and reports said the U.S. Department of Justice also signed off.
Background
Roku was founded more than two decades ago and said ahead of the deal that its platform reaches more than 100 million households. Charlie Collier has been president of Roku Media since 2022, and Fox acquired Tubi in 2020.
