Meta raises common stock offering to $25 billion at $625 per share
Meta lifted its Class A offering by $2.5 billion after buy orders hit about five times the shares available, bringing its total fundraising plan to $97.5 billion.
Meta increased the size of its Class A common stock offering from $22.5 billion to $25 billion, with the offering priced at $625 per share, according to Bloomberg. The move lifts the company's total fundraising plan from $95 billion to $97.5 billion.
Demand ran well ahead of supply: buy orders for the common stock reached about five times the shares offered. More than half of the allocation went to long-term investors and existing shareholders, and the top 15 institutional investors took about 70%, Bloomberg reported.
Meta's separate $12.5 billion mandatory convertible preferred stock offering was also oversubscribed several times over. Alongside a market-price-linked share sale program of up to $60 billion, the plan now covers the $25 billion common offering and the $12.5 billion preferred stock. Including the underwriters' additional purchase option, actual fundraising could reach $103 billion.
The $625 offering price is 2.7% below Meta's closing price on the prior trading day of the 23rd. Nvidia will invest $3 billion in the offering and AMD $1 billion.
Meta said its capital expenditure outlook for this year is $135 billion to $145 billion, and reported negative free cash flow of $2.12 billion in the third quarter.
