Anthropic S-1 Discloses $120.5B Nvidia Compute Deal

Anthropic's filing also details a $44.9 billion Microsoft commitment and a $110 billion Amazon deal, plus founder voting control after any IPO.

Anthropic disclosed commitments of up to $120.5 billion by 2029 for Nvidia GPU-based compute acquired through SpaceXAI, according to its S-1 filing with the US Securities and Exchange Commission, reported by The Verge on October 26. The filing runs more than 300 pages and covers executive pay, business risks and planned use of proceeds.

The company said monthly spending could reach about $3.1 billion once all facilities are supplied. The filing also sets out a $44.9 billion commitment to Microsoft through 2033, at least $114.5 billion to Google, and $110 billion to Amazon over the next 10 years. Anthropic named only OpenAI and Google as direct competitors.

Executive pay and security costs

CEO Dario Amodei received about $17.96 million in 2025 including stock and stock options, while President Daniela Amodei received $16.4 million. Anthropic spent $2.75 million on the CEO's personal security and $1.29 million on the president's security, home security and transport services. Dario Amodei also received private jet benefits valued at $97,055.

In its risk disclosures, the company warned that harm caused by AI systems could exceed the insurance industry's capacity to absorb losses. Anthropic also maintains a public benefit corporation structure.

Governance arrangements described in the filing involve a separate entity, Founder LLC, designed so that seven co-founders exercise 50.1% of shareholder voting rights after the IPO.
